These Terms and Conditions ("Terms") govern your access to and use of the AI receptionist, AI agent services, websites, applications, and related offerings (collectively, the "Services") provided by MMB AI Legacy LLC ("MMB AI Legacy," "Company," "we," "our," or "us").
By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.
1. Services Overview
MMB AI Legacy LLC provides AI-powered receptionist and AI agent services designed to:
Answer and route incoming calls, schedule appointments, route inquiries and support customer interactions on behalf of businesses.
The Services are intended for business use only. They are not a substitute or replacement for professional judgment, licensed professional services, or emergency response systems.
2. Eligibility and Account Responsibilities
You must be at least 18 years old and legally authorized to enter into binding agreements to use the Services.
You are responsible for:
Providing accurate, current, and complete information
Maintaining the confidentiality of account credentials
All activity conducted under your account or assigned phone numbers
Ensuring authorized use of the Services
You agree to notify us immediately of any unauthorized access, misuse, or security breach.
3. Client Responsibilities and Acceptable Use
You agree to:
Use the Services only for lawful purposes
Comply with all applicable local, state, federal, and international laws
Obtain any required consent from customer, callers, or users before recording calls or collecting information
Comply with all telephone, SMS, marketing, and data protection regulations
You may not:
Use the Services for fraudulent, deceptive, or unlawful activities
Disrupt or interfere with system integrity or functionality
Attempt to reverse engineer, copy, extract, or misuse AI models, software, or infrastructure
Use the Services to provide medical, legal, financial, or emergency advice unless expressly authorized in writing
You are solely responsible for ensuring legal compliance in your use of automated calling, messaging, and AI interactions.
4. AI Limitations and Disclaimers
You acknowledge and agree that:
AI systems are automated technologies and may produce errors or inaccuracies
Services rely on the information provided by you and your customers
AI-generated responses are operational in nature and do not constitute professional advice
MMB AI Legacy LLC does not guarantee:
Perfect accuracy
Continuous uptime
Error-free performance
Specific business outcomes or financial results
You are responsible for reviewing system outputs and monitoring performance where appropriate.
5. Call Handling, Transcripts, and Recordings
Where enabled, calls and communications may be recorded or transcribed for purposes including:
Delivery of Services
Maintain service records
Performance improvement and quality
You are solely responsible for:
Providing legally required call recording disclosures
Obtaining proper consent from callers or customers
MMB AI Legacy LLC is not liable for noncompliance with recording, consent, or notification laws.
6. Fees, Payments, and Billing
Fees for Services are provided prior to purchase or onboarding.
By using paid Services, you agree to:
Pay all applicable fees as agreed to by contracts provided
Provide accurate billing information
Authorize recurring charges where applicable
All payments are non-refundable unless otherwise stated in writing.
We reserve the right to suspend or terminate Services for nonpayment or billing disputes.
7. Intellectual Property
All software, content, AI models, workflows, systems, documentation, branding, and proprietary materials provided by MMB AI Legacy LLC are owned by or licensed to the Company and protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the Services during the term of your agreement.
You may not:
Copy, reproduce, distribute, or modify proprietary systems
Create derivative works
Resell or sublicense the Services without written authorization.
8. Confidentiality
Each party agrees to maintain the confidentiality of non-public business, technical, financial, or proprietary information disclosed in connection with the Services.
Confidential information does not include information that:
Is publicly available
Was lawfully known prior to disclosure
Is independently developed
Is required to be disclosed by law
9. Data Use and Privacy
Your use of the Services is subject to our Privacy Policy, which is incorporated by reference into these Terms.
You acknowledge that data collected through the Services may be processed in accordance with our Privacy Policy.
10. Service Modifications and Availability
We reserve the right to:

Update features, pricing, or functionality
Perform maintenance, upgrades, or system enhancements
We are not liable for service interruptions, delays, system outages, or changes in functionality.
11. Termination
We may suspend or terminate your access to the Services if:

You fail to pay applicable fees
Your use poses legal, regulatory, reputational, or operational risk
You may terminate use of the Services by providing written notice.
Termination does not relieve you of payment obligations incurred prior to termination and remain enforceable.
12. Limitation of Liability
To the maximum extent permitted by law:
MMB AI Legacy LLC shall not be liable for indirect, incidental, consequential, special, or punitive damages.
Our total liability shall not exceed the amount paid by you for the Services in the three three months preceding the claim.
This includes damages related to AI errors, data loss, or service interruptions.
13. Indemnification
You agree to indemnify, defend, and hold harmless MMB AI Legacy LLC, its officers, employees, contractors, and partners from any claims, damages, liabilities, losses, or expenses arising from:
Your use of the Services
Your violation of these Terms
Your failure to comply with applicable laws
Claims arising from communications sent or calls placed using your AI system
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in the state or federal courts located within the State of New Jersey. You consent to personal jurisdiction and venue in such courts.
15. Changes to These Terms
We may update these Terms at any time. Updated versions will be posted with a revised effective date.
Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
